Terms of Service
1. Parties and Scope
This Agreement (“Agreement”) is entered into by and between YXY Piano Covers / Nayu (“Arranger”) and the Client
commissioning the work (“Client”). The Arranger agrees to create an original anime piano arrangement (“Arrangement”)
based on the agreed specifications. The primary deliverable shall be a PDF file of the Arrangement, with the potential
inclusion of supplementary files in MIDI and WAV audio formats (collectively, “Deliverables”).
2. Copyright and Ownership
a. The Arranger retains all rights, title, and interest, including copyright, in and to the Arrangement and any
associated intellectual property.
b. The Client is granted a limited, non-exclusive license to use the Deliverables solely for personal, non-commercial
purposes. Any transfer, reproduction, or use of the Deliverables beyond the scope of this license is prohibited without
the Arranger’s prior written consent.
3. Restrictions on Use and Redistribution
a. The Client shall not redistribute, sell, or otherwise commercially exploit the Deliverables or any derivative works
based on the Arrangement without the express, prior written permission of the Arranger.
b. The Client agrees not to alter or remove any copyright or proprietary notices contained in the Deliverables.
4. Arranger’s Rights
The Arranger reserves the right to use, display, publish, and otherwise exploit the Arrangement for personal and
promotional purposes, including but not limited to uploading and sharing on platforms such as YouTube, Bilibili, or any
other public medium.
5. Delivery and Acceptance
a. The Arranger agrees to deliver the final Arrangement and any supplementary files in the agreed-upon formats within
the agreed-upon timeline.
b. Delivery shall be deemed complete upon the successful transfer of the digital files to the Client.
c. Acceptance of the Deliverables by the Client confirms that the work has been completed in accordance with the agreed
specifications.
6. Payment and Revisions
a. The Client agrees to pay the Arranger the agreed fee for the commissioned work.
b. Any revisions or alterations beyond the original scope of work may be subject to additional charges and will be
mutually agreed upon in writing.
7. Limitation of Liability
Under no circumstances shall the Arranger be liable for any indirect, incidental, consequential, or special damages
arising out of or in connection with this Agreement, even if advised of the possibility of such damages.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Singapore. Any disputes arising under
or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.
9. Entire Agreement
This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and
supersedes all prior negotiations, understandings, or agreements, whether written or oral.
10. Acceptance
By commissioning the Arrangement, the Client acknowledges and agrees to be bound by the terms and conditions set forth
in this Agreement.
